These Terms of Use (the "Terms") set forth the legally binding terms and conditions that govern your use of our digital properties. By accessing or using our services, you accept these Terms on behalf of yourself or the entity you represent. You must be at least 18 years old to access the App or the Sites. If you do not agree with all provisions of these Terms, cease all use immediately.
The following properties are owned and operated by Criminally Prolific LLC, a New Hampshire-based limited liability company ("Company," "us," "our," and "we"):
All provisions apply equally to the App and the Sites unless otherwise specified.
Arbitration Notice: These Terms require binding arbitration on an individual basis to resolve disputes, rather than jury trials or class actions.
Access is managed through your Semrush account. You are responsible for maintaining the security of your Semrush credentials. The Company is not responsible for any unauthorized access to your Semrush account.
You represent and warrant that all registration information you submit is truthful and accurate, and that you will maintain its accuracy. You are responsible for maintaining the confidentiality of your Account login information. Notify us immediately of any unauthorized use at dmitry@criminallyprolific.com.
Subject to these Terms, the Company grants you a non-transferable, non-exclusive, revocable, limited license to access and use the App and Sites solely for your own internal business or personal use. You shall not license, sell, rent, lease, or commercially exploit the App or Sites; modify or create derivative works; or access the App or Sites to build a competitive product.
The Company reserves the right to modify, suspend, or discontinue the App or Sites at any time with or without notice. All intellectual property rights in the App and Sites are owned exclusively by Criminally Prolific LLC or its suppliers.
The App and Sites may contain links to third-party websites. Such links are not under the control of Criminally Prolific LLC. The Company provides access to these links only as a convenience and does not endorse, warrant, or make any representations with respect to them. You use all third-party links at your own risk.
THE APP AND SITES ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the App or Sites will meet your requirements, be available on an uninterrupted or error-free basis, or be accurate, reliable, or free of harmful code. We do not guarantee that implementing suggested changes will result in specific search engine rankings, citation placements, or traffic increases.
IN NO EVENT SHALL THE COMPANY BE LIABLE TO YOU FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE APP AND SITES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES WILL BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (US $50).
These Terms will remain in full force and effect while you use the App or the Sites. We may suspend or terminate your rights at any time for any reason at our sole discretion, including for any use in violation of these Terms. Upon termination, your Account and right to access the App and Sites will terminate immediately.
Before either party may seek arbitration, the party must first send a written Notice of Dispute to the other party describing the nature and basis of the claim and the requested relief. A Notice to the Company should be sent to: dmitry@criminallyprolific.com. If the dispute is not resolved within 30 days after the Notice is received, either party may begin an arbitration proceeding.
All disputes that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis administered by the American Arbitration Association (AAA) in Portsmouth, New Hampshire. Judgment on the Award may be entered in any court having jurisdiction.
YOU AND CRIMINALLY PROLIFIC LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
This Agreement is governed by the laws of the State of New Hampshire. To the extent litigation is permitted under these Terms, both parties agree that all claims will be litigated exclusively in the state or federal courts located in New Hampshire.
